Scope
This Social Media Viewer Disclaimer (“Disclaimer”) applies to The Canton Land Conservation Trust, Inc. (“Land Trust”) operated websites, pages, accounts, channels, and feeds on social media platforms and community forums (including without limitation Land Trust websites, Facebook, Instagram, Linked In, X, Tik Tok, and YouTube (collectively, “Land Trust Social Channels”). By accessing, viewing, posting, tagging, mentioning, replying, reposting, resharing, retweeting, quote posting, or otherwise interacting with any Land Trust Social Channels, you agree to this Disclaimer, the applicable platform’s terms, if any, and the Land Trust’s website terms of use and privacy policy, if any. The term “you” or “your” as used herein refers to both all persons who view Land Trust Social Channels and “users” as “users” is defined below in paragraph 1.
1. User-Generated Content
Content including comments, images, videos, links, and other materials (“User-Generated Content” or “UGC”), that is created or prepared by any person or entity, including without limitation a sole proprietor, a corporation, limited liability company, or partnership (collectively the “user”) is the sole responsibility of the user who created or prepared the UGC whether or not the user posted the UGC or the Land Trust posted or assisted in posting the UGC. UGC does not represent the views, opinions, or positions of the Land Trust , its affiliates, or its employees. The Land Trust does not endorse, guarantee the accuracy of, or assume any responsibility for UGC.
2. Third-Party Platform Terms
Your use of Land Trust Social Channels is also governed by the terms, rules, and policies of the applicable social media platform. You are responsible for complying with those terms, if any, in addition to this Disclaimer.
3. Moderation and Removal Rights
The Land Trust may, but has no obligation to, monitor, screen, moderate, or review UGC. The Land Trust reserves the right, in its sole discretion and at any time without notice, to remove, edit, or disable any content; suspend or block users; and report content or behavior to platform operators or authorities, including for violations of this Disclaimer, platform terms, or applicable law.
4. No Confidential or Sensitive Information
Do not post or share confidential, proprietary, private, or sensitive information (including without limitation personal data of yourself or others, financial information, health information, or nonpublic business information) on Land Trust Social Channels. The Land Trust is not responsible for the misuse or disclosure of information you choose to make public.
5. License to Use User-Generated Content
By posting or otherwise making UGC available on or through any Land Trust Social Channel, you grant the Land Trust a worldwide, perpetual, irrevocable, royalty-free, fully paid-up, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and publicly display such UGC, in any media now known or later developed, for any lawful business purpose, including but not limited to reposting, resharing, retweeting, quote-posting, tagging or otherwise redistributing such UGC on Land Trust Social Channels, websites, publications or other communication, subject to the Land Trust’s Privacy Policy if any. You acknowledge that this license permits the Land Trust to feature your UGC with your username/handle as posted.
6. Privacy and Data Use
The Land Trust may collect, use, and disclose information in connection with your interactions on Land Trust Social Channels as described in the Land Trust’s Privacy Policy, if any, as well as in accordance with the applicable platform’s data practices.
7. No Endorsement of Third Parties
References, links, tags, shares, follows, likes, or other interactions with third-party content, accounts, products, or services including without limitation reposts, retweets, quote posts, mentions or similar amplification actions do not constitute or imply endorsement, sponsorship, or recommendation by the Land Trust. The Land Trust is not responsible for third-party websites, content, or practices.
8. User Warranties and Indemnity
You represent and warrant that: (a) you own or have all necessary rights and permissions to post or have posted your UGC and to grant the license described in Section 5; (b) your UGC is accurate and lawful; and (c) your UGC does not infringe, misappropriate, or violate any third-party rights (including intellectual property, privacy, and publicity rights) or any law or regulation. You agree to defend, indemnify, and hold harmless the Land Trust and its affiliates, and their respective officers, directors, employees, members, volunteers, and agents, from and against any claims, liabilities, damages, losses, costs, and expenses (including the payment of the Land Trust’s reasonable attorneys’ fees) arising out of or related to your UGC, your breach of this Disclaimer, or your violation of any rights of another or of platform terms.
9. Disclaimers and Limitation of Liability
Land Trust Social Channels and UGC are provided “as is” and “as available.” To the fullest extent permitted by law, the Land Trust disclaims all warranties, express or implied, including without limitation any warranties of accuracy, noninfringement, merchantability, and fitness for a particular purpose, with respect to Land Trust Social Channels and UGC. The Land Trust will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or any loss of profits or data, arising out of or related to your use of, reliance on, or inability to access Land Trust Social Channels or any UGC, even if advised of the possibility of such damages.
10. Changes and Contact
The Land Trust may update this Disclaimer from time to time in its discretion. Changes are effective upon posting. Your continued use of Land Trust Social Channels after any changes constitutes acceptance of the revised Disclaimer.
